REVISEDCONSTITUTION ANDBYLAWSOFTHEULYSSEANSOCIETY

ARTICLE I

Name
ThenameofthisSocietyshallbetheUlysseanSociety

HeadOffice
TheHeadOfficeoftheSocietyshallbeintheGreaterTorontoArea,intheProvinceofOntario.

Seal
Theseal,animpressionofwhichisstampedinthemargin,shallbethecorporatesealoftheSociety.

ARTICLEII

Objectives

TheUlysseanSocietyisanonprofitorganizationwhoseobjectivesare:
a) tobringtogethermaturemenandwomenascompanionstoseekcontinuingwaystogrowandcreate;
b) toprovideoccasionswheretheUlysseancompanionscanfindstimulusandcomradeshipinoneanother’scompany;
c) toprovideopportunitiesforthememberstomeetinanenvironmentwhichpromoteslearningandcreativity;and
d) toprovideprojectsasneededwhichareconducivetotheUlysseandevelopmentofmenandwomen. Suchprojectsshallnotbeattachedtopoliticalpartiesordoctrines.

ARTICLEIII

Members

Section1 MembershipintheSocietyshallbeopentotheelderly,withoutregardtorace,colour,creedorgender,whoadheretothebeliefor conceptthathighpotentialityexistsformenandwomentoproduceandcreatethroughtheverylateyears.
Section2 EligiblepersonsshallbeadmittedasmembersoftheSocietybyamajorityvoteof theSteeringCommittee.
Section3 Amemberwhoseannualcontributionismorethanthreemonthsinarrearsmaybedeemedtohaveresigned.
Section4 Everypaid-upmembershallbeentitledtoonevoteoneachquestionarisingatanymeetingof themembership.
Section5 Uponthesignedrecommendationof onemember,secondedbyanothermember,andbyathreefourthsvotebyballotattheannualmeeting,honorarylifemembershipmaybeconferreduponamemberwhoshallhavenoneoftheobligationsofmembershipintheSociety,butshallbeentitledtoalloftheprivileges.

ARTICLEIV

Financial Structure

Section1 TheFiscalyearoftheSocietyshallcommenceonJanuary1ofeachyear.
Section2 MembershipcontributionsshallbecomedueinJanuaryofeachyear.
Section3 MembershipcontributionsforeachfiscalyearshallbedeterminedbytheSteeringCommittee. Newmembersjoininglateinthefiscalyearshallnotberequiredtopaythefull-suggested amount.
Section4 Incaseswheretheproposedmemberisunabletopaythesuggestedamount,theSocietymaystillgrantmembership.

ARTICLEV

TheSteeringCommitteeandOfficers

Section 1 Theaffairsof theSocietyshallbemanagedbyaboardofdirectorswhichshallbereferredtoastheSteeringCommittee,consistingof ninemembers, fiveofwhomshallconstituteaquorum. TheCommitteeshallperformthedutiesprescribedbythesebylawsandbytheparliamentary authorityadoptedbytheSociety. Notwithstandingvacancies,itscontinuing
members mayexerciseallthepowersoftheSteeringCommitteeaslongasaquorum ofthe
SteeringCommitteeremainsinoffice.TheCommitteeshallfixthehourandplaceofmeetings,andshallperformsuchotherdutiesasarespecifiedinthesebylaws.
Section2 SteeringCommitteemeetingsshallbeheldatleastsixtimesayearasdesignatedbytheSteeringCommittee.
Section3 SpecialmeetingsoftheSteeringCommitteemaybecalledbythePresident,andmaybecalleduponthewritten requestofthreemembersoftheCommittee.
Section4 TheSteeringCommitteeshallbeelectedbyballottoserveforthreeconsecutiveone-yeartermsoruntil theirsuccessorsareelected,andtheirtermofofficeshallbeginatthecloseoftheannualmeetingatwhichtheyareelected.
Section5 TheSteeringCommitteeshallelectfromamongthemselvesthefollowingofficers:President,Vice-President,SecretaryandTreasurerwhichshallconstitutetheExecutiveCommittee.
Section6 ThePresidentshallpresideatmeetingsoftheSteeringCommitteeandatallmeetingsoftheSocietyandshallhavesuchotherdutiesandpowersastheSteeringCommitteemay fromtimetotimedetermine.
Section7 TheVice-President,orother persondesignatedbythePresident,shallpresideintheabsenceofthePresident.
Section8 TheTreasurershallberesponsibleforthereceiptanddisbursementoffunds belongingtooradministeredbytheSociety,maintainthebooksoftheSociety,anddoallotherdutiesordinarilyincumbentuponthetreasurerofacorporation,includingpresentationofanauditedfinancialstatementtotheannualmeetingoftheSociety.
Section9 TheSecretaryshallhavecustodyoftheSociety’sConstitutionandBylaws.He/sheshallkeepanaccuraterecordofthemeetingsandactivitiesoftheSocietyandoftheExecutiveCommittee,andshallberesponsibleforallcorrespondence,andforanyotherdutiesthat theSteeringCommitteemayfromtimetotimedetermine.
Section10 Nomembershallholdmorethanoneofficeatatime. ThePresidentand/orVicePresident and/or Secretaryand/orTreasurermayhavetheirtermofofficeextendedfor onefurther two-yeartermbyamajorityvoteoftheSteeringCommitteeifdeemednecessary.
Section11 VacanciesintheSteeringCommitteemaybefilledfortheremainderofitsterm,eitherbythemembersatageneralmeeting ofmemberscalledforthepurposeorbytheremainingmembersoftheSteeringCommitteeifconstitutingaquorum.

ARTICLEVI

Meetings

Section1 ThemeetingsoftheSocietyshallincludeProgrammemeetings,whichshalltakeplaceonthesecondSundayofeachmonthunlessotherwiseorderedbytheSteeringCommittee.ection2year.TheAnnualmeetingof theSocietyshallbeheldbytheendofMarch in each
Section3 SpecialmeetingsmaybecalledbythePresident,orbyaquorumoftheSteeringCommittee,oruponthewrittenrequestof tenmembersoftheSociety.Thepurposeofthe meetingshallbestatedinthecall.
Section4
AquorumforAnnualandSpecialmeetingsshallbeone-eighthofthepaid-upmembersoftheSociety,sixofwhomshallbemembersoftheSteeringCommittee(providedthattherearesixmembersremaininginoffice).
Section5 EverymotionsubmittedtoanymeetingofmembersoroftheSteeringCommitteeshall,unlessotherwiserequiredbylaw,bedecidedbyamajorityofvotes.
Section6 Thepresidentorotherpersonpresidingatameetingofmembers oroftheSteeringCommitteemayvotewhenthevoteisbyballot.Inallothercaseshe/shecan(butisnotobligedto)votewheneverhis/hervotewillaffecttheresult,thatis,he/shecanvoteeithertobreakortocauseatie;or,inacasewhereatwo-thirdsvoteisrequired,he/shecanvoteeither tocauseor toblocktheattainmentofthenecessarytwo-thirds.

ARTICLEVII

Committees

Section1 AFinanceCommitteecomposedoftheTreasurerandtwoothermembersoftheSteeringCommitteeshallbeappointedbythePresident. Itshallbethedutyofthiscommitteetoprepareabudgetforthefiscalyear,andtosubmitittotheSteeringCommitteeforapprovalforpresentationtotheAnnualgeneralmeeting. TheFinanceCommitteemayfromtimetotimesubmitamendmentstothebudgetforthecurrentfiscalyear,whichmaybeadoptedbyamajorityvote.
TheCommitteewillserveinaconsultativecapacitytotheTreasurer.

Section2 InJanuaryofeachyear,aNominatingCommitteeof five membersshallbesetupandheadedbytheImmediatePastPresidentorotherpersonappointedby thePresident.ItshallbethedutyoftheCommitteetonominate candidatesrequiredfortheSteeringCommitteeattheannualmeeting.TheNominatingCommitteeshallreportattheGeneralProgrammeetinginJanuary.Attheannualgeneralmeetingadditionalnominationsfromthefloorshallbeaccepted.

Section3 Othercommittees,standingorspecial,shallbeappointedbythePresident of theSocietyorastheSteeringCommitteeshallfromtimetotimedeemnecessarytocarryontheworkoftheSociety.ThePresidentshallbeexofficioamemberofallcommitteesexcepttheNominating Committee.

ARTICLEVIII

Chequesandexecutionofdocuments

Section1 ValidchequesrequirethesignatureofanytwoofthePresident,Vice-President,TreasurerandSecretary,buttheSteeringCommitteemaybyresolutionappointothersigningofficers.

Section2 Contracts,documentsoranyinstrumentsinwritingrequiringthesignatureoftheSocietymaybesignedbyanytwoofthePresident,Vice-President,TreasurerandSecretaryafterbeingapprovedbytheSteeringCommittee.Allcontracts,documentsandinstrumentsinwritingsosignedshallbebindingupontheSocietywithoutanyfurtherauthorizationorformality.

Section3 ThesealoftheSocietymaywhenrequiredbeaffixedtocontracts,documents, and instrumentsinwritingsignedasaforesaid.

ARTICLEIX

Auditors

Sectionl Themembersshallateachannualmeetingappointanauditor(internalorexternal)toaudittheaccountsoftheSocietywhoshallholdofficeuntilthenextannualmeeting providedthattheSteeringCommitteemayfillanycasualvacancyintheofficeofauditor. TheremunerationoftheauditorshallbefixedbytheSteeringCommittee.

ARTICLEX

ProtectionofOfficers

Section1 EverySteeringCommitteememberoftheSociety,theirheirs,executorsandadministrators,mayfromtimetotimeandatalltimesbeindemnifiedandsavedharmlessoutofthefundsoftheSocietyfromandagainst:

(a)Allcosts,chargesandexpenseswhatsoeverwhichsaidmembersustainsorincursinoraboutanyaction,suitorproceedingwhichisbrought,commencedorprosecutedagainsthim/herfororinrespectofanyact,deed,matterorthingwhatsoevermade,doneorpermittedbyhim/her,withtheexceptionofunlawfulacts,inorabouttheexecutionof thedutiesofhis/herofficeand

(b)Allothercosts,chargesandexpenseswhichhe/shesustainsorincursinoraboutorinrelationtotheaffairsofthesociety,unlesssuchcosts,chargesorexpensesareoccasionedbyhis/herownwilfulneglect,default,orunlawfulacts.

(c)AllSteeringCommitteemembers,includingofficers,shallbeinsuredagainstthirdpartyliability claims.

ARTICLEXI

Chapters

l. EstablishmentofChaptersMembersoftheSocietymay,withtheapprovaloftheSteeringCommittee,formchaptersoftheSocietyinaccordancewiththeseby-laws.

2. RegulationofAffairsSubjecttotheprovisionsof theseby-lawsandtoanyrulesandregulationsenactedbytheSteeringCommittee,eachChaptershallhaveandmayexercisesuchexecutiveandadministrativepowersasmaybeappropriatetofulfilitsdutiesandresponsibilitiesandeachChaptershallbeincorporated.

3. ApprovalofSocietyTheobjectsandmembershipcriteriaofaChaptershallbeconsistentwiththeobjectsandmembershipcriteriaoftheSociety. Theproposedname,activities,constitution,applicationforincorporationandby-laws(the “IncorporatingDocuments”)ofaChaptershallbesubmittedtotheSteeringCommittee(orsuchothercommitteeorofficerastheSteeringCommitteemaydirect)fortheSociety’spriorwrittenapproval. TheIncorporatingDocumentsshallcontainsuchprovisionsastheSocietyinitsabsolutediscretionconsiderstobeappropriate,havingregardtothemandateoftheSociety.

4. LimiteduseofnameIf theSocietyapproves aChapterforincorporation,theChaptermaybepermittedtouseanamewhichincludesthenameof “TheUlysseanSociety”andtorefertoitselfasaChapteroftheSocietyprovidedthattheChaptercontinuestocomplywiththisby-lawandanyrulesandregulationsrelatingtoChaptersastheSteeringCommitteemayenactfromtimetotime.TheSociety shallhaveabsolutediscretiontorequireaChaptertoceaseusinganamethattheSocietyhaspreviouslyapprovedforusebyaChapterandtoterminateitsrelationshipwiththeSocietyuponprovidingnoticetotheSociety.

5. SocietynotresponsibleforChaptersTheChaptersshallbefullyresponsiblefortheirownoperations. TheSocietyshallhavenoresponsibilityorliability,financialorotherwiseforanyactsoromissionsoftheChapters. Withoutlimitingthegeneralityoftheforegoing,nothinginthisby-lawshallbeconstruedasgivingtoaChapterthepowerandauthoritytorepresentoractonbehalfoftheSocietyinanymannerorthingwhatsoever.

6. AmendmentEachChaptershallsubmitanyamendmentstoitsIncorporatingDocumentstotheSteeringCommittee (orsuchothercommitteeorofficerastheSteeringCommittee maydirect)fortheSociety’sprior writtenapproval.ChaptersshallberequiredtocomplywiththedirectionsoftheSocietypriortoamending,repealing,enactingorvaryingtheirIncorporatingDocuments.

7. RulesandRegulationsTheSteeringCommitteeoftheSocietymayenactsuchrulesandregulationsrelatingtothemembership,organization,function,methodofoperationandreportingobligationsofChaptersasitmaydeemtobeappropriatefromtimetotime.TheSteeringCommittee shallprovidecopiesofallsuchrulesandregulationstotheChapters.

ARTICLEXII

Robert’sRules

ThegeneralprocedureofmeetingsofthisSocietyshallbeinharmony withtheprinciplesset forthin “Robert’sRulesofOrder”,asupdatedfromtimetotime. These “Rules” shallbethe finalauthorityastoparliamentaryprocedure,insofarastheydonotconflictwithanyprovisionsofthisSociety’sConstitutionandtheseBylaws.

ARTICLEXIII

AmendmentofBylaws

ThisBylawortheLettersPatentmaybeamendedbyavoteoftwo-thirds(2/3)ofthemembership presentattheannualmeetingoftheSocietyoratanyothermembershipmeetingdulycalled forsuchpurposes.NoticeofsuchproposedamendmentmustbegiventotheSecretaryonemonthinadvanceofthemeeting.
